1. The following criteria must be fulfilled in order for the GDV to be accumulated:
- Accumulated GDV is based on the direct purchase(s) with GL (HCMC);
- The signed Sales and Purchase Contract (SPC) between the purchaser(s) and GL (HCMC) for the Existing Property(ies) must not be terminated for any reason whatsoever (Assignment shall not be considered as termination);
- In the event of Purchaser(s) consist of joint-name, the GDV excluded of VAT and maintenance fee shall be divided equally to total purchasers who sign the Sales and Purchase Contract (SPC)
2. For the Purchaser(s) to be eligible for the GL Friends Loyalty Program:
- The Purchaser(s) must fulfill all the criteria in T&C 1. If the Sales and Purchase Contract (SPC) between the Purchaser(s) and the Developer for the New Property (“New Property SPC”) consists of joint-names, at least one (1) of the Purchaser(s) must fulfill all the criteria in T&C 1;
- In the event that all Purchaser(s) consist of joint-names are entitled to GL Friends, the discount amount shall not be accumulated and defined based on the highest Tier;
- The New Property must not be categorized as “Resettlement Apartment” by the Developer;
- GL Friends is not applicable at the same time with other promotion program i.e SPS, Appreciation Program, Goldlink Program and Bulk Purchase; unless there are changes in the Developer’s policies and
- The New Property SPA is dated after 01/12/2018
3. Within seven (7) days from the date of offer to purchase of the New Property by the Purchaser(s
- Purchaser(s) must complete and sign in the GL Friends membership activation form;
- This form must be acknowledged receipt by the Developer.
- The Developer shall issue the GL Friends Card for purchaser based on the accumulated GDV after receipt of membership activation form. The issuance of upgraded card shall be free of charge, re-issuance fee is required in case of loss of card.
4. Subject to the Purchaser(s) in compliance with this T&C, the GL FRIENDS will be calculated based on the formula below:-

X = Total discount amount of GL Friends
Y = Housing price of the Property excluding of Land use right rate as set out in New SPC after deducting promotion in cash; and
Z = % The GL FRIENDS discount percentage is as set out in the table below:-
Accumulated value of GL (HCMC) property purchased (Excluded the New Property SPC purchase price)

Total “X” amount of discount shall be deducted directly on the Selling price
In the event of any further discrepancy on the table above, GL (HCMC)’s decision on the table above shall be final,
binding and conclusive on the Purchaser(s)
5. In the event:
- This T&C is not complied with; and/or
- The Existing SPCs and/or the New Property SPC is terminated for any reason whatsoever; and/or
- There is any bankruptcy proceeding or winding-up proceeding commenced against the Purchaser(s) or the Purchaser(s) is adjudged a bankrupt or there is an appointment of an official administrator or liquidator on behalf of the Purchaser(s) on or before the SPC date of New property; and/or
There is any acts or omissions of the Purchaser(s) including but not limited to participating in protests and demonstrations, posting photos and articles or making statements which in the Developer’s sole opinion (which opinion shall be final and binding on the Purchaser(s)) directly or indirectly bring the Developer and/or Gamuda Group into disrepute and/or against the best interest of Gamuda Group; and/or - There is any breach of any applicable laws, rules, regulations, by laws or requirements, whether or not having the force of law, by the Purchaser(s); and/or
- There is any non-disclosure, fraud, cheating or deception by the Purchaser(s) as determined in the Developer’s sole opinion (which opinion shall be final and binding on the Purchaser(s)); and/or
- Inaccurate or incorrect information and/or disclosures by the Purchaser(s); then the following shall take place:-
* This form shall be deemed automatically terminated;
* The Purchaser(s)’ entitlement to the GL Friends shall automatically lapse and be considered null and void;
* The Purchaser(s) shall not be entitled to the GL Friends or any part thereof; and
* The Purchaser(s) shall not have any actions, claims, proceedings and/or suits in any way whatsoever against the Developer in respect of this form and the GL Friends
6. The Purchaser(s)’ entitlement to the GL Friends is personal to the Purchaser(s) and it is non-transferable / non-assignable to any third party or to any other properties of the Purchaser(s) for any reason whatsoever.
7. The GL Friends is not exchangeable for any kind or favour in whatever name called
8. The Purchaser(s) shall abide strictly by this T&C and shall fully indemnify and hold the Developer harmless against any and all losses, damages, claims, proceedings, actions, fines, penalties, costs and expenses which the Developer may suffer or incur arising from the Purchaser(s)’ acceptance of participation in the GL Friends or from breach by the Purchaser(s) of this T&C.
9. The Purchaser(s) shall only be entitled to the GL Friends provided that the Purchaser(s) has complied with this T&C and the Purchaser(s) shall not be entitled to participate concurrently in any other schemes offered by the Developer whether such schemes are running concurrently or consecutively (unless otherwise allowed under such other schemes). Changing from one scheme to another is strictly prohibited.
10. The Developer reserves the right to:-
- Determine the entitlement of the Purchaser(s) for the participation of this GL Friends, to decide on any other matters pertaining to this GL Friends and the decision by the Developer shall be final, conclusive and binding on the Purchaser(s); and/or
- At any time in the Developer’s sole and absolute discretion, substitute, withdraw, add to or alter any of GL Friends offered whether in entirety or in part without notice to the Purchaser(s); and/or
- At any time without prior notice terminate, discontinue or suspend the GL Friends at the Developer’s sole and absolute discretion in which case, the Developer may elect not to award any of the GL Friends. Such termination, discontinuation or suspension shall not give rise to any claim by the Purchaser(s). If the Developer resumes the GL Friends, the Purchaser(s) shall abide by the Developer’s decision regarding resumption of the GL Friends and the disposition of the GL Friends; and/or
- The Developer’s decisions on all matters relating to the GL Friends (including but not limited to any inconsistencies in any of these terms and conditions) shall be final, binding and conclusive on the Purchaser(s). No discussion, correspondence, enquiry, appeal or challenge in respect of any decision of the Developer shall be entertained in any way whatsoever
- The Purchaser(s) hereby irrevocably waives all rights to make any oral or written complaints, public announcements or statements on the GL Friends, unless with the prior written consent of the Developer
- The Developer shall not be liable to the Purchaser(s) for any failure to fulfill any terms of this T&C for any reason whatsoever including but not limited to any other circumstances of whatsoever nature beyond the control of the Developer
- This form shall be binding on the Purchaser(s), heirs and/or personal representatives or the Purchaser(s)’ successors in title, as the case may be, and shall be governed by the laws of Vietnam.
